Licence agreement for Buypass Access
The license agreement applies to the Buypass Access software (the license object), associated media and any electronic documentation. The license object is distributed and marketed by Buypass AS under license from SecMaker AB. Buypass has all rights to the product name Buypass Access. SecMaker has all rights in the Software. SecMaker's products are protected by international law and copyright and should only be used in accordance with the terms set out below. You must accept the license terms before you start using the product. If you do not agree to the license terms, you will have to return the product to the supplier within eight days and ask to cancel the purchase.
LICENSE
This Agreement grants the Licensee a non-exclusive right to use the License Object, including documentation and any updates. Installation, copying, downloading, accessing, and any form of use of the License Object is deemed to be an acceptance of the Terms and will thereby bind you to the terms of the License Agreement. The licensee has the right to install and use the number of copies ordered and received from Buypass AS on Licensee's machines. The number of licenses of the License Obtained by the Licensee shall always be equal to or higher than the number of users of the Licensee who are granted access to use the Licensing Object. The Licensee may install the License Object on a central server or similar storage device and run it from one or more workstations, provided that the Licensee has purchased sufficient number of licenses.
USE OF THE LICENSE OBJECT
Licensee does not itself, nor may he permit others to use, copy or otherwise transfer the License Object in whole or in part in any way other than that set forth in this License Agreement. Licensee is not entitled to decompile or by other means attempt to recreate the License Object and / or its source code. Additional copies of the License Object may only be produced as a backup and for archiving. The Licensee's possible modification or processing of the License Object applies to the Copyright Act for intellectual property, etc. (Copyright Act).
LICENSE OBJECTIVES
Marking or information about the applicable patent or copyright in the License Object made available to the Licensee shall be retained by the Licensee and shall not be altered. This license agreement does not imply that Buypass AS and / or SecMaker AB's patent or other copyright rights are transferred to the Licensee. The licensee shall not make the License Object available to outsiders without the written consent of Buypass AS. Assignment of Licensee's rights pursuant to this license agreement can only be done with the consent of Buypass AS.
WARRANTY
Provided that the Licensee uses the License Object in a designated operating environment and in accordance with. information in documentation and specific instructions, Buypass AS guarantees that the License Object complies with the specifications throughout the warranty period, i.a. for twelve months from the date of delivery. Buypass AS does not guarantee that the License object does not contain program errors.
LEGAL FAILURES / DISADVANTAGES
If a third party claims that the License Object infringes its rights, Buypass AS is responsible for safeguarding Licensee's interests. Buypass AS pays all costs and damages, provided Lisenstaker immediately sends Buypass AS written notice of the claim, as well as gives Buypass AS full control of the case and cooperates with Buypass AS in negotiations with third parties. If such a claim is made, the Licensee accepts that Buypass AS, either grants the Licensee the right to continue using the License Object, or modifies it or replaces it with another License Object with at least similar functionality. If none of these alternatives can be reasonably used according to Buypass AS, Lisenstaker agrees, upon written request, to return the License Object to Buypass AS. Buypass AS will then credit the Licensee an amount equal to the lump sum or 12 months rent the Licensee has paid. This constitutes Buypass AS's full responsibility to Lisentaker for claims in connection with legal defects / default.
BUYPASS AS YOUR RESPONSIBILITY
In addition to the above, Buypass AS is not responsible for the function or quality of the License Object. The licensee's rights in relation to errors are governed by this agreement. Buypass AS is not liable, under any circumstances, to the Licensee for any errors in the License Object. Buypass AS is not responsible for direct or indirect damage resulting from the use of the License Object. The aforementioned limitations do not apply if Buypass AS has committed gross negligence or willful misconduct. Termination of Agreement Upon termination of this Agreement, either in the form of cancellation, termination or cancellation, the Licensee is obliged to promptly return the license object to Buypass AS. This must be done through physical return and / or written confirmation that all copies of the License Object have been deleted.
EXPORT CONTROL
The license object may contain encryption functionality and may therefore, under certain circumstances, be subject to special export and export rules. Upon execution, it is the Licensee's responsibility to verify that this is in accordance with current export and export rules. In some countries, very strict regulation applies in the introduction, possession and use of software that contains encryption functionality. Before the Licensee takes the License Object to another country, it is the Licensee's responsibility to check which rules apply in that country.
DISPUTE
Disputes concerning the interpretation and / or application of these conditions shall be settled by the Norwegian court in accordance with Art. Norwegian law.
